The local hospital system asks your group to take part in the design and start-up of a physician hospital integration projects or ACO.  The hospital proposes using a “neutral” attorney or consultant, whom it will select and pay.

The Analysis:

Your group should be wary of this arrangement and seek your own independent counselors. At attorney or consultant paid by the hospital will place the institution’s needs and goals first, regardless of any “neutral” disclaimer.  Pay some or half of the cost of the expert’s fees and travel if you want neutrality, and all parties (hospital, physicians and consultants) sign the contract and name the “NewCo” as the client, not the hospital.
